SYBASE AND IBM ANNOUNCE OS/2 RELATIONSHIP

Strategic Relationship to Provide Industry-Leading Client/Server Solutions
on OS/2 and Establishes Joint Development Laboratory

EMERYVILLE, March 15, 1995 - Sybase Inc., The Enterprise Client/Server
Company, and IBM, announced today a strategic development and marketing
relationship designed to deliver industry-leading client/server products
on IBM's OS/2 operating system for Intel and PowerPC architectures. Sybase
will develop optimized versions of the currently available SYBASE System
10 product family for the OS/2 platform including the award-winning SYBASE
SQL Server, SYBASE Replication Server, and the SYBASE Workgroup SQL Server
bundle.

Sybase made two other IBM-related announcements this week, both of which
help further the integration of client/server solutions for IBM
mainframes. Sybase announced Open Client for MVS and a development
initiative with IBM that will help empower the mainframe to work
cooperatively with client/server applications.

optimized for their platform of choice."

Joint Engineering Laboratory

Sybase and IBM will form a joint engineering development team, staffed by
both companies, which is focused on optimizing performance of Sybase
products on OS/2. Initially, the work will focus on OS/2 for Intel single
processor and multi-processor platforms. In a subsequent phase, Sybase is
expected to deliver products on OS/2 for PowerPC.

History Of Success on OS/2

Sybase estimates that over 40,000 copies of the original SQL Server 4.2 are
installed for use on OS/2 machines. SYBASE SQL Server set the standard for
client/server applications from 1991-1994, when the server was a 16-bit
application. As a result of this success, over 200 front-end development
tools were developed which work with SQL Server for OS/2, including
Powersoft Powerbuilder.

Today, SYBASE System 10 fully exploits the 32-bit OS/2 operating system,
providing new levels of performance and integration on the OS/2 platform.

Sybase also supports a range of connectivity products on OS/2, including
SYBASE Net-Gateway and the MDI Database Gateway These products allow
customers to seamlessly integrate their mainframe systems with OS/2 and
other SYBASE client/server applications.

In addition, Sybase currently ships Open Client 10 for OS/2, allowing
customers to develop tools and client applications on OS/2 Warp which
seamlessly integrate with SYBASE and other server products.

SYBASE Watcom Offerings on OS/2

Watcom, a subsidiary of Sybase, offers an award-winning set of products for
OS/2. These include Watcom SQL, one of the most efficient RDBMS products
in the market today. Watcom SQL for OS/2 includes full ANSI 89
compatibility, ODBC support, triggers and stored procedures, and
declarative referential integrity in less than 4MB of user memory.

Watcom also offers the VX-REXX for OS/2 and Watcom C/C++ for OS/2,
client/server development tools. VX-REXX and Watcom C/C++ provide a
powerful, object-oriented development environment for OS/2 which can
access data stored in Sybase and other relational databases.

OS2/Warp is the third generation of IBM's award-winning 32-bit operating
system. It has new usability features, slimmed down memory requirements
and comes with a BonusPak of more than a dozen OS/2 applications,
including easy access to the Internet and CompuServe via the IBM
Information Superhighway.
