Carroll Touch, Inc., Expanding into Systems Integration and Acquiring
Significant New Technology

Round Rock, Texas; April 7, 1994-- Carroll Touch, Inc., the leading
manufacturer of scanning infrared touch systems, today announced
acquisition of the Guided Wave Technology from Exzec, Inc., of Evanston,
Illinois, and the acquisition of Emerald Computers, Inc., of Beaverton,
Oregon.

Guided Wave Technology Acquisition

In acquiring both the Guided Wave touch technology and Emerald Computers,
Inc., Carroll Touch moves to reposition the company as a systems
integrator focussing on human interface solutions. Carroll Touch, with
twenty years experience in design, development, and manufacture of touch
systems. is now better positioned to serve it's customers and the market
requirements for a world class systems integrator dedicated to the unique
requirements of the human/machine interface. As the only touch supplier in
the world to receive ISO 9001 quality certification, Carroll Touch is
uniquely qualified to fill this position.

Long known for it's award-winning infrared touch products and world-class
quality culture, Carroll Touch acquired the Exzec, Inc., technology as
part of the company's strategy to be the world's leading systems
integrator specializing in human/machine interface solutions. While still
under development, Guided Wave technology will allow Carroll Touch to
develop new touch products that compliment it's existing infrared product
line. Utilizing a shear acoustic wave that travels through the substrate,
Guided Wave technology has substantial advantages over existing
overlay-based touch systems. These advantages include:

* Clarity - Guide Wave systems have a transmissivity rating of 92%

* Reliability - Guided Wave systems are similar to Infrared systems in that
they are not subject to the "drift" phenomena that Resistive Overlay and
Capacitive touch systems are subject to

* Sealability - Since the energy wave in Guided Wave technology travels
through the substrate instead of on the surface, water, dirt, grease, and
other contaminants do not attenuate the signal. As a result Guided Wave
systems can be sealed to meet National Electronics Manufacturers (NEMA) 4
ratings, whereas Surface Acoustic Wave systems cannot

* Low-Profile - Guided Wave technology achieves a much lower profile than
other overlay-based touch technologies by utilizing a substrate of only
.04 inches thick. In addition, Guided Wave technology utilizes a
transducer mounted on the edge of the sensor, as opposed to being mounted
on an acrylic wedge attached to the sensor similar to Surface Acoustic
Wave systems.

Carroll Touch anticipates bringing Guided Wave products to the market in
the next 9 months with pricing and warranties comparable with other
existing touch technologies. "This is an exciting time for Carroll Touch,
we feel that the potential for Guided Wave products is tremendous and will
be an excellent complement to our award winning infrared product line",
said Dave Martin, General Manager of Carroll Touch. " We feel that Guided
Wave products will be able to address those applications for which
infrared solutions are not appropriate, but still allow systems designers
to enjoy the quality of products and services that only a worldclass
quality organization can provide", stated Mr. Martin.

Emerald Computers, Inc., Acquisition

Carroll Touch's acquisition of Emerald Computers, Inc., reflects the
company's commitment to expanding it's systems integration business.
Having already provided systems integration services to Fortune 200
customers, Carroll Touch is now accelerating the expansion of that
capability through Emerald Computer's line of industrial computer and
terminal products.

While supporting Emerald Computers' existing product lines, Carroll Touch
will develop touch-based systems solutions for a variety of applications
including Point-of-Sales terminals, factory-floor data collection systems,
and interactive kiosks. As part of Carroll Touch' s commitment to be the
world's leading systems integrator specializing in human/machine interface
solutions, the company will expand the scope of it's ISO 9001 quality
certification to incorporate Emerald Computers' product lines.

"Carroll Touch's management felt the dynamic synergism of integrating these
two companies would help us to achieve common goals, such as offering
one-stop shopping to customers looking for unique touch-based systems
solutions and to provide the products and services of a world-class
quality organization", stated Mr. Martin.

In addition to the well-defined manufacturing processes and award winning
customer driven quality culture, both Carroll Touch and Emerald Computers'
current and prospective customers will enjoy the benefits of an expanded
sales channel, significant R&D investment, and affiliation with AMP
Incorporated, the world's leading manufacturer of electrical/electronic
connectors and interconnection systems.
