McAFEE COMPLETES ACQUISITION OF Net TOOLS AND HELP+ PRODUCT LINES FROM
AUTOMATED DESIGN SYSTEMS

Strengthens McAfee's Leadership in Network Security Management Market

SANTA CLARA, CALIF. (May 13, 1994) -- McAfee (NASDAQ: MCAE;), the leading
vendor of Network Security Management software, has completed its
acquisition of the Net TOOLS and Help+ product lines from Automated Design
Systems, Inc. (ADS), a recognized pioneer in Windows-based network
management applications.

Under the terms of the acquisition, McAfee will pay ADS between $4.95
million and $5.5 million cash for the Net TOOLS and Help+ product lines.
The final purchase price will be determined based upon actual product
revenues for the year ending June 30, 1994. The Net TOOLS and Help+
product lines had 1993 revenues of approximately $2.5 million and are
currently operating at a $4 million run-rate. As previously announced
April 19, McAfee will account for the acquisition as a purchase and
expects to write off a substantial portion of the purchase price as
in-process technology, which should result in a loss for the second
quarter of 1994. McAfee will transfer product development responsibility
for Net TOOLS to its East coast office in Tinton Falls, New Jersey.

Net TOOLS is a Windows-based desktop management system that provides
advanced menuing, print management and security features for client
workstations on NetWare and LAN Manager networks. Help+ is a help desk
front- end application for client workstations that automates the
collection of critical workstation diagnostic information to assist in
network administration.

The acquisition follows McAfee's March 30 purchase of Brightwork
Development, a leading developer of server-based LAN management tools.
Brightwork Development's flagship integrated network management product,
Brightwork FUSION, has been renamed McAfee BrightWorks and becomes the
server linchpin of McAfee's product line. McAfee's product strategy calls
for BrightWorks to act as the server console platform and Net TOOLS to
provide client console management. On top of each of these platforms,
McAfee is building a family of best-of-breed Network Security Management
modules, ranging from anti-virus and access-control to metering and
software distribution.

"With the acquisition of Net TOOLS and Help+, McAfee will be able to offer
network administrators a completely integrated suite of client and server
Network Security Management tools," said Bill Larson, McAfee's president
and CEO.

Rusty Gordon, president and CEO, and select senior managers, will remain
with ADS to lead the company's core systems integration business. ADS will
become a McAfee Agent, entitling it to market McAfee site licenses as part
of its ongoing integration business. "We're looking forward to becoming a
McAfee reseller," said Gordon. "With the addition of Net TOOLS, McAfee
offers the most compelling suite of Network Security Management tools on
the market today. We believe this line will be well received by our large
corporate customers. "

ADS recently signed an agreement with Trellis Software, Inc., of Southboro,
Massachusetts, that calls for Trellis to port the Net TOOLS product line
into the Banyan Vines enterprise networking environment. "McAfee is
excited about continuing this relationship with Trellis," noted Larson.

"Downsizing and the move to distributed PC networks have migrated mission
critical applications onto LANs, thereby increasing the burden on network
administrators," continued Larson. "The administrators are now actively
seeking tools to help them better manage network assets and the integrity
of their network applications." International Data Corporation (IDC)
forecasts support this trend in the growth of Network Security Management.
IDC estimates that by the end of 1994, 14.4% of the PCs attached to LANs
will be managed by network management software, a three-and-a-half-fold
increase over 1993. This demand is driven by the need of network
administrators to increase their effectiveness in . managing their
networks. Gartner Group research indicates that labor to select, install,
administer and support applications accounts for 85% of the total cost of
ownership for software applications. McAfee's growing product line
addresses these needs.

With these recent product and channel marketing initiatives, McAfee is
delivering on a strategy first articulated shortly after Larson was named
president and CEO in October, 1993. At the time of his appointment,
McAfee's products were distributed exclusively over bulletin boards and
on-line services. In these few short months, McAfee has taken decisive
steps aimed at leveraging the company's anti-virus software leadership and
strong electronic distribution channel. McAfee has initiated a
multi-channel distribution strategy that includes selling the company's
anti-virus software at retail for the first time ever. At the same time,
McAfee plans to introduce the newly acquired Brightwork and ADS products
into the electronic distribution channel.
