Micro Focus to Acquire Burl Software Laboratories

Acquisition strengthens Micro Focus' position in rapidly growing
maintenance and reengineering tools market

Palo Alto, California -- June 13, 1994 -- Micro Focus announced earlier
this month that it has agreed to terms with Burl Software Laboratories,
Incorporated to acquire all of their outstanding shares for a total
consideration of up to 13.5 million dollars (8.9 million UK pounds
sterling). Burl Software is the developer of Revolve, an analysis tool for
COBOL software systems. Revolve complements Micro Focus' wide range of
development tools and solutions for mission-critical, enterprise and
client/server applications by providing a detailed analysis tool that
works in conjunction with the Micro Focus' COBOL Workbench. Upon
completion of the acquisition, Burl will serve as a research and
development laboratory for Micro Focus.

Currently installed in over 500 programming shops in North America, Revolve
assists programmers and analysts in understanding, maintaining, enhancing
and converting existing COBOL systems. It was recently highlighted as a
'best performer' among application-wide analysis tools by the Gartner
Group, Stamford, Connecticut. Revolve combines graphics, objectoriented
design and traditional language theory to provide an environment where
software developers can interactively examine existing software systems.
Revolve helps programmers and analysts understand their systems and
thereby lower maintenance costs, while at the same time increasing their
productivity.

"Revolve will provide the large installed base of Micro Focus Workbench
customers with a comprehensive, system-wide solution for analyzing and
understanding both existing 'legacy' COBOL applications and new
applications as they increase in complexity."

The Micro Focus Workbench is a comprehensive application development
environment for mainframes and PCs. It is ideal for off-loading mainframe
development, developing client/server applications, developing stand-alone
applications for the PC and developing for cross-platform portability.
Revolve, which serves as an excellent complement to the program
development and testing facilities in Workbench, will be seamlessly
integrated with the Workbench to provide additional analysis tools for
COBOL developers. "Revolve's application analysis features will help
facilitate reengineering of legacy systems to newer architectures," said
Peter Katz, vice president of marketing for Micro Focus.

Dave Babson and Ken Romley, Burl's founders and principals, will take on
critical new roles with the acquisition. Babson will serve as evangelist
and product marketing specialist for the Burl products within Micro Focus,
and Romley will continue to manage the development and technical staff, as
well as the integration of the Burl products with Micro Focus products. K.
Ray Allen, Burl's president and CEO, will serve in an advisory capacity as
the acquisition proceeds and return to his other business interests.
