Pro CD at Top of Market in CD-ROM Sales and Product Category

Recent Studies Demonstrate Publisher of Electronic Phone Books as Market
Leader

DANVERS, Mass. (June 5, 1995) -- Pro CD, Inc., the leading publisher of
accurate telephone directories on CD-ROM, was among the top sellers of
CD-ROM titles and continues to dominate the electronic phone book
category, according to recent results from Software Analyst and PC Data
studies. Two of the company's titles, Home Phone and Select Phone, were
included on the Software Analyst list of 25 topselling CD-ROM titles in
April 1995. PC Data results conclude that Pro CD has held the number one
position in its category since August 1994.

Software Analyst, a monthly newsletter published by George Meier that ranks
software titles and vendors through market analysis, listed Pro CD's Home
Phone product sixth in the market share listing of CD-ROM titles. The
company's flagship product, Select Phone, holds the number 23 position on
the chart. The ranking of two Pro CD reference products among the top 25,
a list which is mainly dominated by game and entertainment titles,
demonstrates the overall strength of Pro CD and the market demand for
quality reference titles.

The PC Data results confirm Pro CD's firm hold of the market since August
1994, highlighting the company's March 1995 share of market dollars at
$817,931 (74 percent) and market units at 7696 (58 percent) (Retail
Software Sales Report, PC Data, March 1995). Conversely, the study
demonstrates that Pro CD's competitors have experienced significant
decreases in market share during the same time.

DDA 12 percent 10 percent

In the same PC Data report, Pro CD was listed 14th in a list of the top 25
business software publishers (by dollars) in March 1995, holding company
with software vendors such as Microsoft, Novell, Corel, Lotus, Borland,
IBM, Apple, and Delrina.

"The recent study results not only demonstrate Pro CD's definite leadership
position in the product category, but also show that reference titles can
compete for shelf space," said Jim Bryant, president and chief executive
officer of Pro CD. "It is evident that there is a demand for good
reference and productivity tools, and our commitment to providing the most
easy-to-use, accurate data on new media has catapulted us to the top of
the market."

Software Analyst analyzes and ranks software sales market share by category
and is published monthly. The study is sent to Wall Street investors and
is regularly used in compiling data charts by leading industry
publications, such as New Media Magazine and ComputerLife.
