(Metairie, LA--June 13) Applications Development (ADev) and Engineering
Design Automation (EDA) today signed a memorandum of understanding to
merge their respective businesses into a single plant design software
company. The completion of the merger is subject to obtaining necessary
government approvals and other ordinary terms and conditions for
transactions of this kind.

"The combined entity has an installed base of over 20,000 modules in 5,000
customer sites world wide," according to Dr. Dennis Row, President of EDA.
"Initial studies indicate many complimentary functions between the EDA
AutoPLANT and ADev's PRO-SERIES & OMNI-SERIES product lines, and our
development teams are working hard to prepare a long term technology
strategy to benefit both user groups."

ADev's President, Robert Keith, adds "the combination of our technical and
marketing resources now enables us to focus on providing a broader, more
integrated set of solutions for our customers. This union creates a
formidable competitor to high end systems, and the largest supplier of PC
plant design solutions in the world."
