TANGRAM ANNOUNCES ACQUISITION OF KNOZALL

Raleigh, N.C., August 4, 1994 -- Tangram Enterprise Solutions, Inc. a
software development company traded on the over-the-counter market (TESI),
announced today that it has purchased the assets of Knozall systems, Inc.
for $1.5 million in cash and notes, with the total package to include
performance considerations. Knozall is a privately held Chandler, Arizona
firm that develops resource management products for NetWare LAN
environments. Tangram is a developer of enterprise wide, client/server
software that automates and controls resources for the mainframe and UNIX
environments.

Knozall Systems will become a division of Tangram. The founder and
President of Knozall, Don Lundell, will join Tangram's Board of Directors
and will assume the title of Vice President and General Manager of LAN
Products. Tangram, located in Raleigh, North Carolina, is a partnership
company of Safeguard Scientifics, Inc., a billion dollar, NYSE-listed
company that focuses on developing entrepreneurial companies concentrated
within the information systems market.

including Windows, UNIX, Windows NT, NetWare, OS2, DOS, MVS, and Macintosh,
as well as myriad communications options, such as APPC, TCP/IP, SPX,
NetBIOS, SDLC, X.25, and asynchronous connectivity.

Knozall's products, which are installed at more than 4,000 locations
worldwide, will broaden the scope of the AM:PM distributed resource
offering and give customers the option of running AM:PM in a NetWare-only
environment. Tangram will leverage the capabilities of NLMerlin, NLMAuto,
NLMAuto Professional, FileWizard, Corporate FileWizard, and FileAuditor to
provide enhanced AM:PM functionality, including file auditing and
management, hierarchical storage management, and job scheduling in a
NetWare environment.
