RACAL-DATACOM AND SHIVA CORP. SIGN RESELLER AGREEMENT TARGETING REMOTE LAN
ACCESS MARKET

Racal/Shiva Package Simplifies Dial Access to Corporate Networks

Sept 7, 1994 -- SUNRISE, FL. -- Racal-Datacom, Inc., a leading provider of
network communications equipment and services, and Shiva Corp., a leading
provider of remote access servers and client software, today announced
that they have signed a reseller agreement that targets the remote LAN
access market. Racal will package its Excalibur Analog Single-Ended T-1
(ASET-1) multiplexers and 326x series of dial access modems with Shiva
LanRover remote access servers, all under a common network management
platform.

"This agreement brings together the expertise of both Shiva and Racal to
provide a managed, integrated LAN/WAN solution for companies with
high-volume dial-up requirements from remote users and telecommuters,"
said Julio Siberio, Racal vice president of analog access products. "The
agreement provides a network-managed solution that reduces the cost and
increases the efficiency of dial-up network access."

With existing and pending federal, state and local legislation on
telecommuting, there is increasing interest in remote access among firms
such as insurance companies, sales organizations, municipal and state
governments, health care facilities, and financial services.

"Increases in telecommuting and sales force automation are two of the
factors which drove 43 percent growth in remote access servers, modems and
related devices last year," said Julie Morse of Gartner Group. "Because of
these changing corporate business models, the Gartner Group predicts a
compounded annual growth rate of 41 percent through 1996 for remote access
devices."

With Racal's ASET-1, companies are able to take advantage of the
cost-efficiencies of T-1. For example, recurring telephone line charges
typically account for 75 percent of overall network costs. T-1 access
dramatically reduces monthly phone bills, particularly when used with
telephone carrier 800 services. By providing direct T-1 access, Racal's
ASET-1 and dial modems can connect hundreds of users to the corporate
network over single dial-up phone lines. The solution eliminates the need
for separate CSUs, channel banks and cabling required in high-volume
dial-up applications.

"We're pleased to have Racal resell our LanRover remote access servers with
Racal dial access products," said Frank Ingari, Shiva's president and CEO.
"By joining forces, we can simplify remote access for companies with
extensive dial-up requirements by enabling network managers to install a
single T- 1 line to handle two dozen connections."

The Shiva LanRover family of easy-to-manage, multi-protocol, multi-platform
remote access servers is designed to meet the needs of both end-users and
network managers. The servers provide remote node access to the full range
of network services, including electronic mail and file transfer,
databases and mainframe applications. Available for Ethernet or Token Ring
networks, LanRover products are optimized for dial-in, dial-out and
LAN-to-LAN connections over both analog and ISDN phone lines.

As part of the Racal package, companies gain the advantage of network
management. Racal's CMS 400 network management system provides a single
platform for configuration, monitoring and testing wide area network
components. Through the CMS 400 SNMP management module, network
administrators are also able to monitor LanRover performance.

Racal is also packaging other Racal products and services with the Shiva
LanRover products to provide remote access solutions.

Products include RMD 3264 and ALM 3268 high-density central site dial
modems. The RMD 3264 operates at speeds up to 14.4 Kbps, and the ALM 3268
supports high speeds up to 21.6 Kbps. The ALM 3268 is software upgradeable
to support ITU-T's V.34 compliant 28.8 Kbps operation in upcoming
releases. Excalibur Network Access Resource (ENAR) intelligent nodal
chassis serves as the central site housing for these and other Racal
products. Racal products providing support for basic rate and primary rate
ISDN are planned for the future.

Services include design, implementation, installation, applications
support, and maintenance. Racal-Datacom's national support team -
comprised of nearly 500 professionals - offers expertise in providing
integrated LAN/WAN networks.
