MEDIA VISION COMPLETES ACQUISITION OF PELLUCID
Company forms new Visual Technology Group

FREMONT, CALIF. --JUNE 1, 1993 --- Media Vision (MVIS:NASDAQ) has completed
the acquisition of Pellucid Inc. in exchange for 584,025 shares or
approximately $15 million of Media Vision common stock. Under the terms of
the acquisition agreement, Media Vision will issue options to purchase
104,193 shares of Media Vision stock to employees and consultants of
Pellucid in exchange for their Pellucid options.

Pellucid, a company formed by a group of founders and engineers out of
Silicon Graphics Inc., has been developing low cost, high quality,
workstation-type graphics for personal computers. This company will become
a wholly owned subsidiary of Media vision and will be the foundation of
Media Vision's newly formed Visual Technology Group. Its technology will
be offered both as graphics accelerator products and will be integrated
with Media Vision's existing technology to provide new digital video
products for personal computers.

According to Paul Jain, Media Vision's president and CEO, the technology
coming from Pellucid is the next generation in graphics technology for
personal computers. "Virtually all of the other affordable graphics add-in
products are based on the old VGA architecture, which has now been pretty
much stretched and accelerated to its limits. Our goal is to offer both
mainstream PC users and OEM customers an easy-to-use architecture, which
substantially enhances graphics performance and make it natural to
integrate digital video."

"Traditional computer graphics technology is a relatively forgotten, but
fundamental, part of multimedia," continued Jain. "Media Vision has
already established itself as a player in the personal computer video
business. With the world class team from Pellucid, we have not only added
to our base of core multimedia technology, but we also expect to see
products coming out of this group that contribute to both near- and
long-term revenue."

With this acquisition Media Vision adds both to its product mix and its
range of core technologies for popularizing multimedia. This group plans
to offer add-in graphics accelerator boards for end users and graphics
accelerator boards and chips for OEMs (original equipment manufacturers).
In addition, this newly acquired technology will be further developed and
combined with Media Vision's video technology for next generation video
boards and chips. Continuing with Media Vision's existing strategy, all
products which result from the Pellucid acquisition will be designed to be
more technologically advanced at a lower cost than is currently available
in the market.

Media Vision's Visual Technology Group is expected to release its first
product this summer. These first products will be add-in products to be
sold through traditional computer retail channels. Later this year the
group plans to release its first OEM products. Also expected later this
year is the integration of some of Media Vision's video technology with
advanced graphics technology from the Visual Technology group.

Bharat Sastri, 38, founder and president of Pellucid, will become vice
president for visualization technology of Media Vision's Visual Technology
Group. Prior to forming Pellucid, Sastri was director of engineering for
the Entry Systems Division at Silicon Graphics and was directly
responsible for completion of the Indigo low cost graphics workstation
project and several other computer graphics and video projects. Prior to
joining Silicon Graphics, Sastri held senior positions at Convergent
Technology, Epson America, and was a member of the start-up team of
Osborne Computer Corporation.

Greg Reznick, 38, will serve as vice president of the Visual Technology
Group. Reznick recently joined Media Vision. He was formerly vice
president of marketing at Video Seven, along with a number of other
members of Media Vision's executive team. More recently, Reznick has been
president of his own consultancy.

Media Vision's mission is to popularize multimedia by offering solutions at
affordable prices. Headquartered in Fremont, Calif., the company produces
a line of products ranging from systems and printed add-in cards to chips
based on emerging multimedia standards for mainstream personal computers.
