XSoft Division of Xerox To Offer InContext, Windows-Based Publishing
Software

Worldwide OEM agreement brings benefits of SGML publishing to non-technical
users

PALO ALTO, Calif., October 20, 1993 -- XSoft, a division of Xerox
Corporation, and InContext Corporation, a Toronto-based pioneer in the
open information systems industry, today announced a worldwide OEM
agreement for software based on the Standard Generalized Markup Language
(SGML) publishing industry standard. Under the terms of the agreement.
XSoft will integrate InContext's SGML-based structured document authoring
program for Microsoft Windows-based personal computers into the XSoft line
of publishing solutions. XSoft will deliver the product, under the name
XSoft InContext, to meet the growing demand among nontechnical users for
more advanced document publishing and
management solutions.

XSoft InContext enables the creation, editing, and manipulation of
documents in a structured format, offering full support for SGML. It
delivers the benefits of SGML structured document management
transparently, without the difficulty, complexity or expense of
traditional, high-end SGML publishing systems. Users do not need to know
SGML in order to use XSoft InContext, which is accessed through the
familiar Windows user interface and can be used as either a stand-alone
product or part of an enterprise-wide publishing system.

XSoft president Dennis Andrews stated, "While SGML has clearly improved
bottom-line results for many technical publishers, its complexity has
limited these benefits to only highly trained and sophisticated users. At
the same time, non-technical publishers in corporate environments are
looking to such systems for improved productivity and additional
capabilities for electronic delivery. InContext was designed specifically
for these users and can quickly bring the benefits of SGML to their
Windows desktops. This agreement represents an important step for XSoft in
continuing to provide users with simple access to increasingly powerful
software."

Robert Arn, president of InContext added, "We share with XSoft the common
vision of an emerging mass market for structured document publishing. Both
companies are focused on providing solutions that enable the universal
exchange of information regardless of differences in computer hardware and
software. Initiatives by the U.S. government, its suppliers, and many
Fortune 500 organizations embrace such an interchange standard in SGML.
They represent a potentially enormous market niche and a multi-billion
dollar industry. InContext's alliance with Xerox, with its more than
100,000 employees worldwide, will allow us to reach and lead that
market."

XSoft Publishing and Workflow Solutions

XSoft will offer InContext with its other SGML publishing software
products, including the CAPS (Computer Automated Publishing System)
SGML-based document composition product that XSoft recently acquired from
Agfa. To provide extended workflow capabilities for publishers, XSoft will
also integrate InContext with its InConcert workflow management software
that models and coordinates the components of a work process.

XSoft InContext Advantages

* Ease of use--no knowledge of SGML required. InContext offers the standard
Microsoft Windows interface, already familiar to millions of corporate
business users. In contrast, traditional SGML technical publishing systems
can be complex to learn and use. Because SGML is transparent in InContext,
anyone who can use a Windows word processor can use InContext and get the
full advantages of SGML structured document publishing.

* Full support of the Windows environment. Object Linking and Embedding
(OLE) and Multi-Document Interface (MDI) facilities are fully available.
Users can integrate InContext into their existing organizations, retaining
the benefits of familiar applications while gaining the power of SGML.
Unlike most other SGML authoring products, InContext offers in-line
display of graphics, the familiar way of working for Windows users.

* Innovative use of Excel as a table editor. Tables can be created faster
and errors eliminated by using Excel to work with live data, as opposed to
the proprietary approach taken by other SGML authoring packages. With
Excel, InContext offers much greater table flexibility and can save hours
of work.

* Ability to display multiple document windows. Users can see several views
of a single document, or different documents in different types, and cut
and paste between them.

* Worldwide language capabilities. Incorporating 16-bit Unicode at the
software foundation level, InContext can edit any displayable character
from the 256,000 Unicode character set. This is a significant improvement
over other packages based on 8-bit character codes, which can only edit
256 characters.

* Information reliability. Before InContext, the only alternative for
corporate and low-end users who wanted the benefits of SGML was to create
files in common wordprocessing packages and later convert them to SGML.
InContext offers higher reliability for these users by allowing them to
work directly in SGML structured documents, eliminating data errors from
conversion.

Targeted Markets

XSoft directs its publishing marketing efforts to the industries and
vertical markets that are adopting SGML as a corporate direction,
including aerospace, automotive, defense, pharmaceuticals, financial,
telecommunications, computer systems, and government agencies.

Price and Availability

XSoft will begin shipping XSoft InContext in November, 1993, at a single
unit list price of 5995. Volume discounts are available.

SGML

The Standard Generalized Markup Language (SGML) is a powerful international
standard for information processing. SGML provides a means for identifying
or "tagging" the information elements of documents with great flexibility
so that the structure of the information in the document and the
relationships of its parts may be described with the clarity required to
allow automated assembly, disassembly, modification and reassembly of the
information elements. SGML also helps to automate the process of
generating outlines and hypertext links and gives the capability to
perform precise searches which yield more specific information.
SGML-encoded documents can be used to automate information flows and
processes throughout information intensive industries with benefits
similar to how CAD/CAM has affected manufacturing enterprises.

InContext Corporation

InContext Corporation, founded in 1991, is focused exclusively on new
software markets arising out of the third wave of standardization of
computer systems, the stage of data standardization that has followed

technology for the non-technical user as this third wave of information
standardization creates a new mass market. Its product line is based on
networked PCs running Windows 3.1. It offers powerful information create
and management capabilities with totally user-transparent maintenance of
structured document standards such as SGML and easy interfaces to common
PC desktop applications such as word processors and spreadsheets as well
as UNIX publishing systems. A public company, InContext Systems Inc. is
