XSoft Completes Acquisition of Agfa CAPS Products

Palo Alto, Calif., October 20, 1993 -- XSoft, a division of Xerox
Corporation, today announced that it has completed its acquisition of the
Computer Automated Publishing System (CAPS) software products from Agfa, a
division of Miles, Inc. XSoft will incorporate the CAPS products with its
other publishing, document management, and workflow offerings to provide
highly integrated solutions for electronic distribution and structured
publishing applications. The two companies previously announced the
signing of a letter of intent for the acquisition in August, 1993.

The CAPS product line is made up of a document composition system, called
CAPS, and a document database management system currently under
development. Both offer compliance with the Standard Generalized Markup
Language (SGML) publishing industry standard. The CAPS document
composition product features SGML editing, automated pagination,
distributed network publishing, and SGML translators. It also interfaces
with a wide range of personal computer and workstation platforms and
operating systems, so that users can capitalize on their current
investments.

The shared document database management system will extend the
functionality of CAPS by managing document storage, organizing document
content and coordinating the editing, maintenance, and production process.
It will incorporate new technology that allows technical publishers to
manage individual document components in addition to entire documents.
This will enable the re-use of information, eliminating unnecessary
document recreation and reducing production time and costs.

XSoft also announced today a worldwide OEM agreement with InContext
Corporation of Toronto. Under the terms of the agreement, XSoft will
integrate InContext's SGML-based structured document authoring program for
Microsoft Windows-based personal computers into the XSoft line of
publishing solutions. XSoft will deliver the product, under the name XSoft
InContext, to meet the growing demand among non-technical users for more
advanced document publishing and management solutions. XSoft will offer
integrated SGML publishing solutions based on the CAPS and InContext
products. These will replace the company's previous DocuBuild offering.

Agfa

Agfa is the imaging division of Miles Inc. Headquartered in Ridgefield
Park, N.J., Agfa Graphic Systems manufactures and markets electronic and
photographic prepress systems, type and font products, phototypesetting
materials and presentation graphics systems for the graphic arts and
