MCAFEE ANNOUNCES INTENT TO ACQUIRE BRIGHTWORK DEVELOPMENT

Addition of Network Management Product to Build on McAfee's Broadening
Business Strategy

SANTA CLARA, CALIF. AND TINTON FALLS, N.J. -- JANUARY 25, 1994 -- McAfee
Associates, Inc. (MCAF:NASDAQ), the leader in anti-virus software, and
Brightwork Development, a recognized leader in NetWare based network
management software, have announced that they have signed a non-binding
letter of intent for McAfee to acquire the assets of Brightwork for cash.
Other details regarding the deal have not been released at this time.

"Network security management has become a basic requirement in
corporations," said William L. Larson, McAfee's president and CEO. "McAfee
intends to leverage its customer base by expanding its product line and
adding more security and network management tools. We believe that
acquiring Brightwork Development will be the right first step in
delivering on this strategy."

Larson elaborated that network security management encompasses a wide
variety of tools to manage assets and protect the integrity of corporate
networks, including, among others, software metering, asset management,
and anti-virus software. Brightwork Development, which offers a robust
line of LAN management products, will bring a number of key strengths to
McAfee. In addition to an award-winning product line, Brightwork has
approximately 30,000 customer accounts. Brightwork's products are
distributed via traditional computer resellers and a strong direct
telesales operation.

"The combination of McAfee and Brightwork will bring together a powerful
set of products and unique sales channels targeted exclusively at the
network security management market," said Greg Gianforte, Brightwork's
president and CEO.

The acquisition is subject to a number of conditions including execution of
a definitive acquisition agreement.

Founded in 1986, Brightwork is a leading innovator in LAN management
software, with a record of firsts in developing intuitive applications for
network administrators. Over one million network nodes are currently
managed by Brightwork utilities, with a worldwide installed base of more
than 140,000 file servers. The firm's headquarters are in northern New
Jersey, and its products are sold domestically as well as through more
than two dozen international distributorships and reseller operations.

Based in Santa Clara, Calif., McAfee was founded in 1989 and is today the
lead provider of anti-virus software. The company's software is
distributed electronically through an on-line service as well as bulletin
boards, CompuServe, America Online, Internet, through a unique network of
180 authorized agents who provide local sales and technical support, and
through computer resellers. McAfee has recently begun a strategy of
broadening its business beyond the anti-virus market to capture
opportunities in the burgeoning network security management market.
