eWare Announces Acquisition of WinSleuth Diagnostics Software

New York, New York, May 8, 1994 - E Ware, a division of Visual Cybernetics
Corporation, today announced the acquisition of WinSleuth, a popular
Windows-based utility program that performs personal computer hardware and
software problem diagnostics.

Award-winning WinSleuth helps users properly maintain their computers by
providing a guide to installing, configuring and troubleshooting hardware
and software under Microsoft Windows.

In addition to providing the most accurate analysis, compared to other such
products, WinSleuth offers a unique manner in which information is
displayed. The user interface is largely graphical in the form of
animation. For instance, running a test on the hard disk displays an
animated graphic of the hard drive giving graphical displays of progress
and results.

"We believe WinSleuth is the best product in its class and helps to
simplify the mysteries of the workings of the PC," said Joseph T. DiMauro,
president and CEO of Visual Cybernetics Corp. "This acquisition is part of
our effort to broaden our software product line."

The proliferation of multimedia sounds cards, video cards, CD-ROM's and
ever-changing CPUs, has created greater need for user friendly, yet
powerful diagnostic software. While the market for both MS-Windows and
MS-DOS utility software is currently estimated at $1 billion, diagnostic
software is the fastest growing segment. Current data shows the diagnostic
segment is $150 million, growing at a 40% annual rate.

WinSleuth won Windows Sources magazine's Expert Pick Award in February 1994
and PC Computing magazine's Best Bets Award in December 1993.

WinSleuth version 2.0 sells for $99 (SRP). WinSleuth will be sold along
with other E Ware division software products to the business community.
The software will also be bundled on all Northgate computers.

The company is purchasing the WinSleuth from Cypress, California-based
DorSoft, Inc. for $360,000 to be paid on a deferred basis. The software is
currently generating sales at an annualized rate of approximately
$1,000,000. It is expected that WinSleuth will generate between $1.5 to
2.0 million in sales over the next 12 months.

The E Ware division of Visual Cybernetics develops and markets workgroup
and multimedia products. The growing product line currently includes eNote
2.0, eNote Remote and eNote Mobile, eNote for cc:Mail, and an MHS version,
with several new products in development. Visual Cybernetics (NASD
Bulletin Board "VSCY"), publicly held since 1992, develops, manufactures
and markets advanced computer products for communications, entertainment
and medical applications.
