PARAMOUNT PUBLISHING REALIGNS BUSINESS, TECHNICAL AND PROFESSIONAL GROUP

Planned Sale Of Non-Core Assets Completes Refocus Begun In June 1993

NEW YORK, April 27, 1994 -- Paramount Publishing, a unit of Viacom Inc.,
today announced that it will realign its Business, Technical and
Professional Group to concentrate on business and reference publishing,
completing a process begun in June 1993. The nation's leading publisher,
Paramount Publishing is comprised of four publishing groups: Education;
Consumer; Business, Technical and Professional; and International.

The Business, Technical and Professional Group will be reorganized into two
units. The first, Macmillan Publishing, will consist of Paramount
Publishing's Library Reference operation, Macmillan Computer Publishing
and Macmillan General Reference. The unit will be headed by Scott
Flanders, President of Macmillan Publishing.

The second unit will bring together the Group's business, training and
healthcare reference operations--Appleton & Lange, the Bureau of Business
Practice, the New York Institute of Finance, Career and Personal
Development and Jossey-Bass -- under the direction of Martin Kenney, who
will be president of this unit. Mr. Kenney had been President of Paramount
Publishing's elementary/high school supplementary businesses, Senior Vice
President of Marketing, and most recently the Acting President of the
Bureau of Business Practice.

In line with Paramount Publishing's previously announced plans to focus on
its core business and reference markets, the company also announced its
intention to sell units of its Software and Information Division,
including Prentice Hall Legal and Financial Services, Prentice Hall
Professional Software, Manac, and Master Data Center, as well as Prentice
Hall Law & Business, and the map company H.M. Gousha. These transactions,
which are expected to take place over the next several months, will
complete the repositioning of the Business, Technical and Professional
Group.

Paramount Publishing had originally begun focusing on reference publishing
in June 1993 when it announced its intention to sell units of its Software
and Information Division to Information America. Several months later, it
was mutually decided to terminate the agreement.

Richard E. Snyder, Chairman of Paramount Publishing, said: "While the
