WELLFLEET AND RACAL-DATACOM SIGN GLOBAL RESELLER AGREEMENT

Racal to resell Wellfleet's complete line of router products worldwide

May 18, 1994 -- SUNRISE, FL -- Wellfleet Communications, Inc. and
Racal-Datacom, Inc. today announced they have signed a worldwide reseller
agreement to give both companies a larger share of the growing world
router market estimated at $1.7 billion in 1993 by International Data
Corporation (IDC). Racal has added the complete Wellfleet multiprotocol
router product line to its existing portfolio of internetworking products
for sale on a worldwide basis.

The reseller agreement links Wellfleet's strength in router technology with
Racal's strong position in digital network access at remote branch offices
for such vertical markets as banking, insurance and financial industry
firms. Wellfleet is a leading supplier of high performance, highly
available internetworking products and services, and was named the fastest
growing publicly held company in America by both Fortune magazine (1992
and 1993) and Inc. magazine (1993).

Both Wellfleet and Racal rank in the top two firms in market share for
their respective product segments. According to IDC, Wellfleet holds 15
percent of the $1.7 billion router market. The research firm Dataquest
reports Racal-Datacom holds more than 27 percent of the $248 million
market for digital service units.

The reseller agreement also combines Wellfleet's technical strengths in the
router business with Racal-Datacom's global prominence in sales, service,
support and network management, as well as its track record in meeting the
needs of large organizations. Racal-Datacom will add substantial design,
project management, installation and support elements to the
Wellfleet-based systems it sells.

independent research and consulting firm.

Under the agreement, Racal's sales and customer support groups have begun
training and certification for the worldwide sale of Wellfleet's entire
line of multiprotocol routers, including the new remote office Access Node
routers. Through the development of SNMP applications, Racal is fully
integrating Wellfleet products under its CMS 6000 network management
system. A comprehensive suite of integrated network management
applications will be completed within 90 days.
