PRENTICE HALL PROFESSIONAL SOFTWARE ANNOUNCES 1994 TAX SOFTWARE AGENDA

Plans Call for Enhancing Software 1040, Business Tax Software and
Discontinuing the 1040 Advantage Product

ATLANTA, April 28 -- Prentice Hall Professional Software today announced
its plans for the company's 1994 tax product line. Significant
enhancements will be added to Software 1040 and The Prentice Hall Tax
System for business returns. The company also announced that its 1040
Advantage system will no longer be available beginning next tax season.

In 1994, Prentice Hall will release the first fully networkable version of
Software 1040, along with a variety of other enhancements, including
electronic filing. Updates to Software 1040's database search product,
Info 1040, and Plan 1040, the system's multi-year tax planner, were
recently completed as well.

The Prentice Hall Tax System for business returns will include 11 new state
modules for the 1994 tax season. Additional enhancements include
converting all remaining forms to the new graphical environment and
providing a projected depreciation schedule for calculating the following
year's financial statements, tax accruals and estimated payments.

"We are committed to meeting the individual and business tax processing
needs of our customers," said Edwin "Dee" Goodnight, president. "These
product enhancements will further position our tax software as
comprehensive, reliable solutions for accounting professionals." Prentice
Hall is coming off one of its most successful tax seasons ever in terms of
customer response time, product release dates, and minimum number of
updates during tax season, according to Goodnight.

Prentice Hall is also moving forward with preparations to discontinue its
1040 Advantage product. "After prolonged development and marketing
experiences with the system, we realized that it would not fit the needs
of our current customer base or its intended market. As a result, we feel
the best decision is to withdraw the product and look for an alternative
means to provide an interactive solution," said Goodnight. Employees
assigned to 1040 Advantage will remain with Prentice Hall, working with
the company's business tax product line. The company will continue to
service the individual tax processing needs of its customers with Software
1040.

Tax Software Availability and System Requirements

Software 1040 requires an IBM or 100% compatible PC with 64OK RAM, or an
IBM S/36 or AS/400 mid-range computer. The Prentice Hall Tax System for
business returns (1120 Advantage, 1120S Advantage, 1065 Advantage)
requires an IBM and 100% compatible 80286-based PC, DOS 3.1 or later, and
2 MB RAM. Prentice Hall recommends an 80386 or 80486-based PC, a color
monitor, DOS 5.0 or later, a 100% Hewlett Packard-compatible laser
printer, and a 100% Microsoft-compatible mouse for optimum efficiency.
