TGV ANNOUNCES MAJOR BUSINESS PARTNER PROGRAM FOR SYSTEMS INTEGRATORS,
APPLICATION DEVELOPERS AND PROFESSIONAL SERVICE PROVIDERS

New Channel Program First for Leading Provider of Mission-Critical TCP/IP
Connectivity Software

LAS VEGAS, Nevada, May 3, 1994 - TGV, Inc. announced today at
NETWORLD+INTEROP 94 its first third party channel program, called the
"Business Partner Program," to resell the company's MultiNet product
family of mission-critical TCP/IP software and applications for
heterogeneous file sharing across the enterprise.

"The new partners' program is a major element in our long term strategy and
success," said Craig Conway, president and CEO of TGV. "It will allow TGV
to leverage its deep well of experience in the TCP/IP market and to extend
its reach into a broad range of market segments around the world. The
program will also enable selected systems integrators, developers and
service providers to draw from the technology experience of one of the
largest independent suppliers of TCP/IP connectivity software for the
enterprise with more than 15,000 installations worldwide." Previously, TGV
sold its products directly to customers.

"We are investing in partnerships for the long term," said Kenny Frerichs,
TGV's director of business development. "We recognize that building
quality business partnerships is as important as developing superior
products. No single vendor can provide a complete business solution for
every customer's requirements. That is why we have invested in a
partnership approach to doing business."

Business Partner Program

The Business Partner Program is designed to provide systems integrators,
application developers and professional service providers with services
and programs that will enable them to resell or incorporate all of TGV's
TCP/IP MultiNet software and applications, from the desktop up through the
Digital Equipment Corp. OpenVMS operating system. "Our program provides
third party partners with the same high level of technical support on
which this company has been built," said Frerichs.

A High Level of Technical Support

New channel services that TGV will offer its partners include:

* First Response, an expert database system distributed to partners that
contains common problems and tested technical solutions

* One-hour response time for critical support requests during normal
support hours

* Direct access to the company's developers and technical support staff,
via the Internet

* Unlimited phone assistance with guaranteed four-hour turnaround, for
pre-sale and post-sale technical questions and issues

* Remote dial-up assistance for troubleshooting and installation problems

* Ongoing product upgrades and bug fixes

Extensive and Ongoing Education

In addition to technical support, TGV will work closely with its partners
to keep them up-to-date on the company's products and technology. Company
education offerings include:

* Half day sales class on TGV's products, pricing and configuration,
competition, market trends and working with TGV

* Day and a half technical program taught by TGV developers, covering
product installation, configuration, management and troubleshooting

* Monthly all-day TCP/IP and MultiNet seminars as well as half day classes
on MultiWare throughout the year

TGV is launching a 10 city education tour starting in Boston, June 14, and
concluding in Los Angeles, August 25. Other cities include New York, June
16; Washington DC, July 5; Chicago, July 7; Detroit, July 19; Dallas, July
21; Atlanta, August 9; Denver, August 11; and San Francisco, August 23.

Marketing and Sales Assistance

TGV expects that its Business Partner Program will open new markets for
both itself and its partners. To help partners more effectively reach
customers, TGV will provide a wide variety of sales support and marketing
tools such as:

* Sales support through fully compensated territory sales
representatives who will assist with business opportunities
  and special sales transactions
* Free demonstration of development software
* Ability to generate free customer product evaluations
* Sales kits that contain product brochures, a color sales
presentation, industry reprints, customized mailers and
  data sheets
* National advertising and PR programs

Terms

TGV will offer industry standard contracts for systems integrators and
application developers who are interested in reselling and/or developing
applications. In addition, TGV will offer an Agent agreement for those who
would like to represent TGV but do not require the benefits of the full
program. All contracts include generous terms and require no stocking
fees.
Qualified partners pay a one-time program fee of $3,499.00 for the initial
site and $499.00 for any additional selling location. Program fee covers
all services and program offerings.

Growth of TCP/IP - And the Importance of Mission-Critical TCP/IP

The growth in TCP/IP, a standard protocol used for network communications,
has been dramatic. International Data Corporation (IDC) estimates that
more than 7 million computers run TCP/IP today, and according to Alex
Brown and Sons, TCP/IP will account for some 40% of the communications
protocol market in 1996, up from 20% in 1993. The META Group expects
desktop TCP/IP revenues to rise from $200 million in 1994 to $370 million
by 1996. That growth will take place at the expense of proprietary
communications protocols such as IBM's SNA, Digital's DECnet, Novell's IPX
and Apple's AppleTalk.

TGV feels that these trends are driving the need for an industrial-strength
TCP/IP, one that provides a TCP/IP environment that is consistent across
the enterprise, scalable across platforms, reliable and secure, built in
by over a decade of use.

TGV's Products

TGV's MultiNet family of products enables any Digital Equipment Corp.
OpenVMS system to connect to other computers running TCP/IP, and to the
Internet.

The MultiNet product line has grown to include MultiNet NFS Server,
MultiNet Client and MultiWare Server. MultiNet NFS Server and Client allow
OpenVMS users to share files and resources with UNIX systems. MultiWare
Server lets PC users on Novell NetWare local area networks share files and
resources with OpenVMS Systems.

MultiNet for Windows is a forthcoming product scheduled for introduction in
the third quarter of 1994. It will bring all the mission-critical
functionality of TGV's MultiNet software to Windows users.

TGV Inc

TGV, Inc. is the leading independent provider of mission-critical TCP/IP
connectivity software. TGV created the first TCP/IP software for Digital
Equipment Corp. VAX computers, and is a standard in that market today. The
company's scalable software was engineered to be easily portable across
platforms and operating systems essential to the enterprise. TGV's
customers include AT&T, Boeing, Chevron, Electronic Data Systems, Goldman
Sachs, Liberty Mutual Insurance, SONY, Swiss Bank Corporation and 3M.
