WATCOM ANNOUNCES AGREEMENT WITH IBM FOR SOM FOR WINDOWS

WATCOM C/C++ Version 10.0 to Include SOM/DSOM Technology for OS/2 &
Windows

San Jose, Calif., March 15, 1994 -- WATCOM International, a subsidiary of
Powersoft Corporation, today announced an agreement with IBM Corporation
under which WATCOM intends to enable its application development tools to
operate with IBM's SOM (System Object Model) and DSOM (Distributed System
Object Model) technology for Windows. This will enable users of its C/C++
application development tools to create reusable software components that
can be assembled to develop business solutions in a distributed,
multi-vendor computing environment.

In November 1993, WATCOM licensed SOM and DSOM technology for OS/2 from IBM
for incorporation into products in WATCOM's line of application
development tools. Today's announcement extends the scope of the
cooperation between the two companies to include IBM's SOM technology for
Windows:

* The WATCOM C/C++ 10.0 multi-platform compiler package, also announced
today, will include SOM technology for both OS/2 and Windows licensed from
IBM.

* WATCOM further intends to support Direct To SOM (DTS) C++ bindings in a
1994 release of the C++ compiler, offering developers of SOM objects
considerable gains in reliability, convenience and efficiency.

SOM/DSOM is a flexible, efficient, binary standard for object interfaces
which conforms to the Object Management Group (OMG) Common Object Request
Broker Architecture (CORBA) distributed object standard. SOM is the
underlying object model for the OpenDoc compound-document technology
announced in June 1993 by IBM, Apple, Novell and WordPerfect.

"WATCOM's tools are well positioned to leverage our object technology in a
form which benefits the customer," stated Cliff Reeves, Director of IBM's
Object Technology Group. "WATCOM C/C++'s strong cross-platform
capabilities are ideal for exploiting the availability of SOM on both OS/2
and Windows."

Headquartered in Waterloo, Ontario, WATCOM International Corp., a wholly
owned subsidiary of Powersoft Corp. (NASDAQ:PWRS), is a leading provider
of application development tools. WATCOM has established itself as an
industry-leader in optimizing compiler technology for Intel-based PCs with
its WATCOM C/C++ products. WATCOM introduced its PC-based client/server
SQL database servers in 1992, providing the first SQL database servers
which deliver the simplicity, openness, scalability and cost effectiveness
required for the PC marketplace.
