AGE Logic to Acquire Pacer Software, Inc.

Partnership Provides New Solutions for Desktop-to-UNIX Connectivity

San Diego, CA, March 22, 1995-- AGE Logic Inc., a leading developer of
PC-to-UNIX connectivity solutions and Pacer Software, Inc., a leading
provider of Macintosh-to-UNIX networking products, today announced their
intention to merge. Under the terms of the agreement, both companies will
consolidate products, assets, personnel and technical expertise under the
AGE Logic corporate name. The company will retain operations at Pacer's
Westborough, Massachusetts facility.

By joining AGE's industry-proven X Window server software and network
utilities with Pacer's terminal emulation and file server products, AGE
has significantly broadened its suite of desktop connectivity applications
and access products. Melding AGE's core competency in PC-to-UNIX
connectivity with Pacer's Macintosh-to-UNIX expertise will enable the
combined company to provide a comprehensive suite of desktop-to-UNIX
connectivity products to the corporate market.

The combined resources of Pacer and AGE yield a strong player in the
Macintosh communications software market. "This merger is good news for
the Apple community," said Jim Groff, vice president and general manager,
Apple Business Systems. "Both AGE and Pacer are well respected in the
Macintosh networking market and both have a reputation for commitment to
their customers."

AGE first entered the Macintosh-to-UNIX connectivity market with the
announcement of a technology cross-licensing and development agreement
with Apple to upgrade Apple's Mac product family. Due to the exceptional
growth of Power Macintosh systems and the increasing importance of these
systems within the corporate heterogeneous network, the company decided to
expand its core competencies in the Apple connectivity market.

According to Peter J. Shaw, president and CEO of AGE Logic, "We decided to
seek out and partner with a high quality developer of Macintosh-to-UNIX
connectivity software. Pacer became the obvious choice. Their reputation
as a developer of innovative connectivity solutions and their dedication
to customer support was a perfect fit with AGE's business model. Pacer's
line of terminal emulation and Macintosh-to-UNIX networking products
complements AGE's PC and Macintosh X Server software."

Garth Conboy, president of Pacer, is equally excited. "The merger builds on

The merger is expected to be completed by the end of March, with the
exchange of all outstanding Pacer shares and options for AGE shares. Both
companies are privately held. Other financial details of the agreement
will not be disclosed.
