IBM and Visigenic Announce Agreement to Deliver Connectivity Across
Multiple Operating Environments

SOMERS, NY, and SAN MATEO, CA, May 17, 1995 . . . IBM and Visigenic
Software, Inc. announced today a collaborative effort to deliver Open
Database Connectivity (ODBC) drivers for IBM's industrial-strength
DATABASE 2 (DB2) family of relational database management products.

Visigenic will bundle the DB2 drivers within its AIX, OS/2 and Windows ODBC
DriverSet products in the third quarter, with additional platforms to
follow later in 1995. The DB2 drivers will provide access to the DB2
family running on MVS, VM, VSE, OS/400, OS/2 and AIX. In addition, IBM is
utilizing the Visigenic ODBC Software Development Kit (SDK) on multiple
platforms to assist in the development of the DB2 drivers.

Through this effort, which includes quality assurance testing and
coordinated product service and support, the two companies are providing
technology that will allow corporations and end-users to better exploit
their investments in information systems. This technology will extend the
reach of applications to the vast amounts of data stored in enterprise and
departmental DB2 data systems.

"Expanding application availability in support of new and existing DB2
systems is extremely important to IBM and its customers," said Janet
Perna, director of database technology, IBM Software Solutions Division.
"We are pleased to be working with Visigenic to offer our mutual customers
an integrated offering which supports the DB2 family of products."

"Visigenic is committed to providing cross-platform, mission-critical ODBC
data access to corporate developers, end-users, VARs and ISVs," said Roger
Sippl, CEO of Visigenic. "DB2 is installed and used by many of the largest
corporations in the world. Expanding our ODBC DriverSet with access to the
IBM DB2 family addresses an important requirement for many customers. DB2
is a strategic platform that Visigenic is committed to support."

IBM is the world's largest producer of database management software in the
industry today. Eighty percent of the FORTUNE 500, including the top 100
companies, rely on DB2 database solutions to manage data on mainframes,
minicomputers, RISC workstations and personal computers. IBM's Software
Solutions Division provides data management, application development and
workgroup solutions for mission-critical applications on PCs,
workstations, LANs and host systems.

Visigenic Software, Inc. is a leading provider of software for
enterprise-wide database connectivity. The company currently develops and
markets the Visigenic ODBC DriverSet, Visigenic ODBC Software Development
Kits, and the Visigenic ODBC Test Suites for Windows, OS/2, UNIX and
