MetaSolv's Software Marketing Alliance Program - June 28, 1995

This program is designed for individuals or companies who have developed
unique software applications or components but who are not in the
commercial software business. This program gives these individuals the
opportunity to gain recognition and revenue for their development efforts
without investing in establishing the necessary infrastructure to support
a commercial software venture.

Program Requirements

Utilizing a software reuse methodology developed by MetaSolv, candidate
software products are evaluated against criteria that define commercial
quality reusable software. When candidate software products meet the
following requirements, the Software Developer is invited to join the
Software Marketing Alliance Program:

* Software Developer wishing to participate in the program must own all
rights to the software submitted for participation in the program.

* The submitted software must meet MetaSolvs criteria for quality, reusable
software.

* The submitted software must include all components necessary to implement
the solution.

Program Services

The Software Marketing Alliance Program allows MetaSolv partners to share
in the revenue generated from sales of products derived from their
software.

The financial aspects of the partnership are flexible based on the
contributions and the responsibilities undertaken by each partner. The
following services are available:

* Marketing. Development of marketing collateral, establishing distribution
channels, pricing and promotion of the software product.

* Sales. Direct sales of the product including distribution of sales
material, demonstrations, technical support during the sales cycle and
arrangement of support services.

* Business Services. Development, negotiation and support of the contracts
required for the sale of software products. Also includes responsibility
for billing and collection of fees from customers and for the disbursement
of royalty payments.

* Product Development and Delivery. Development and delivery of products
derived from original software product including modifications to software
code, creation of documentation, and product packaging.

* Support. Provision of hot-line customer support services and/or any
onsite customer support that may be needed to ensure successful
implementation of the software product.

* Consulting. Provision of any consulting services that are required to
support the sale, implementation or customizations to the software
