NEW ACER BEST OF SHOW NOTEBOOK COMPUTER FEATURES PHOENIX TECHNOLOGIES'
ADVANCED SYSTEM SOFTWARE

PHOENIX NOTEBIOS 4.0 AND PHOENIXCARD MANAGER PLUS HELP ACERNOTE 950 ACHIEVE
BEST OF COMPUTEX, AMONG PORTABLES

Santa Clara, CA (June 21, 1995) -- Phoenix Technologies Ltd. (NASDAQ:
PTEC), the world's leading supplier of system-level software for PC
manufacturers and an emerging supplier of consumer-level software, today
announced that its advanced NoteBIOS 4.0 and PhoenixCard Manager Plus
software has enabled the AcerNote 950 notebook computer from Acer Computer
to win the prestigious Best of Computex award.

The award was selected by a panel of 12 independent trade press
professionals at the Computex trade show in Taipei, Taiwan, held earlier
this month. The AcerNote 950 was competing against nearly 50 models from
many of the major notebook computer manufacturers. Judging for the
portable computer category is based on modularity, upgradability and
design. The AcerNote 950 features a unique Dynamic Docking function that
was developed by Phoenix Technologies. Dynamic docking utilizes Plug and
Play technology, developed for Windows 95. Phoenix pioneered the Plug and
Play standard by co-authoring the Plug and Play BIOS specification,
adopted by Microsoft for inclusion in Windows 95.

We would like to share this honor with all of you at Phoenix, said Haydn
Hsieh, general manager, Portable Computing Division for Acer. Together we
endeavored and worked hard to develop this new generation notebook
product, and together we made this award feasible.

The AcerNote 950 incorporates the recently announced NoteBIOS 4.0 from
Phoenix, and supports many advanced performance features including a new
power management system, enhanced IDE drive support and bootable CD-ROM
capability. A unique power management feature called Phoenix Save to Disk
allows the AcerNote 950 to enter a power management state where no power
is consumed, and then immediately lets the user resume working. Phoenix
Save to Disk is used as a significant time and power-saving alternative to
exiting all applications and shutting down the system, rebooting, and then
returning to the user's applications, a common, energy wasting practice of
portable computer users.

The AcerNote 950 also features the PhoenixCard Manager Plus, an advanced
PCMCIA software solution. Integrated with the Phoenix NoteBIOS,
PhoenixCard Manager Plus offers the industry's best PC Card software
solutions, with features including multiple language support, reduced
memory footprint, dynamic card configuration, and full support for the
upcoming Windows 95 operating system.

The acknowledgment from the Computex panel of judges that the AcerNote 950
is Best of Show confirms my belief that a close relationship between
hardware and software technology leaders do not go unnoticed, stated Jack
Kay, president and chief operating officer for Phoenix Technologies.

Speaking for all of the Phoenix employees who worked many long hours, for
many long months to support Acer's exiting new line of notebook products,
we are very proud for their notable achievement, and we all look forward
to helping them incorporate technologies into other outstanding products
in the future.

The AcerNote 950 will be released under the Acer name brand, and is also
being released under other OEM customer brands throughout the world.
