Unveils Product Plans for Windows 95, the Internet, Games and Remote
Computing

SANTA MONICA, Calif., June 15, 1995--Today, Quarterdeck Corporation
(Nasdaq:QDEK), unveiled its strategic business and product plans that will
meet customer demands for Windows 95 products, along with announcing
Internet, game utilities and remote computing products.

The company has restructured into three business units that have a
strategic bond of leveraging Quarterdeck's historic strengths of providing
software that lets users easily pilot and get more power from their
systems. The business unit' s focus indicates the emphasis on new product
development.

"Quarterdeck is back on track with healthy profits and growth and ready to
ship new products in each of our business units," said Gaston Bastiaens,
Quarterdeck president and CEO. "The launch of our suite of Internet
products is a milestone in our company's history, servicing our strong
customer base in the corporate sector and moving quickly into the small
office/home office (SOHO) market." Specific strategies include:

* Expanding into international markets, including Europe and the
  Far East
* Partnering with a variety of key players in the market, including
  access providers, telecommunications companies, OEMs, VARs and
  system integrators
* Gaining maximum leverage from the company's strength in retail
  and corporate distribution
* Continuing to build on our strong worldwide customer support
* Acquiring additional technologies to deliver the best, most
  advanced products

                     Business Unit Structure

The three business units are:

* Utilities Products Business Unit--Manages the utilities products,
including market leader QEMM memory manager; CleanSweep, a hard disk space
manager; DESQview, a multitasking product for DOS and Windows; and the
Game Runner utility suite, designed to improve game playing performance of
both the player and the computer. Game Runner will be formally announced
at PC Expo in New York next week.

* Internet Products Business Unit--Home of the newly announced Internet
products, including the Quarterdeck Mosaic Web browser; Quarterdeck
InternetSuite, offering complete and easy access to all parts of the
Internet; Quarterdeck WebAuthor, the Internet authoring tool that makes
publishing a document or home page a snap; and Quarterdeck WebServer, the
Windows-based server software that eliminates the costs and technology
expertise needed for a UNIX server.

* Remote Computing Business Unit--This group features DESQview/X, which
adds cross-platform remote computing capabilities to DESQview, and is
developing a Windows X server that connects PCs to UNIX systems.

                     Windows 95 Products

Quarterdeck will be providing products that solve the fundamental Windows
95 problems of speed, disk space and memory. Its premier product, QEMM, is
the memory utilities market leader, and Quarterdeck will ship a Windows 95
version in the fall. CleanSweep can be used to free up hard disk space in
preparing systems for migrating to and using Windows 95. A 32-bit Windows
95 version of CleanSweep is also in development, and is expected to ship
soon after of the release of Windows 95. There are also a variety of
diagnostic and speed solutions in development.

Windows 95 versions of the X Server and the Internet products will also be
available.

                   Internet Product Strategy

The Quarterdeck Internet products are powerful, yet easy to use. They
address the broad customer requirements for the consumer, small business

currently in the market, offering tools for users to access, view, share,
distribute, author and publish on the Internet.
